The chairman of the independent audit committee called the meeting to order.
Dominic remained standing.
“I object to this proceeding,” he said.
“Eliza is exploiting a personal dispute to seize operational control.”
Eliza took her seat at the head of the table.
“I cannot seize what I already control.”
Arthur distributed copies of the trust structure.
The first document established that the Vance Family Trust owned sixty-two percent of Stone Capital’s controlling shares.
The second showed Eliza as the sole beneficiary and permanent trustee.
The third revealed Dominic’s actual authority: a revocable proxy limited by conditions he had violated the moment he attempted an unauthorized transfer.
Sierra read the pages twice.
“This cannot be correct,” she said.
“It has been correct since before Dominic became chief executive,” Arthur replied.
Dominic laughed, but the sound was brittle.
“Technical ownership is irrelevant.
I built this company.”
Eliza finally looked at him.
“You became its public face after my father’s first twelve acquisitions were complete.
You announced the expansion.
You did not finance it.
You did not secure the properties.
You did not guarantee the debt.”
She opened the black file.
“I did.”
Arthur presented the forged transfer authorization.
Dominic denied recognizing it.
Sierra said Mercer Vale had been created for an independent investment project.
Then Marcus Bell began to speak.
His voice shook.
Sierra had told him the transfer was part of a confidential marital settlement.
Dominic had assured him Eliza had approved it but could not appear because of medical treatment.
Marcus had objected to the missing verification key.
Dominic had promised the key would be supplied after the gala.
“I knew the procedure was wrong,” Marcus said.
“I approved it anyway.”
Sierra turned on him.
“You’re lying to protect yourself.”
Marcus placed his phone on the table.
“No.
I’m protecting myself now.”
He had saved a recording of the meeting in Dominic’s office.
Arthur pressed play.
Dominic’s voice filled the boardroom.
Once she sees us together, she’ll sign anything to stop the story.
Then Sierra answered.
And if she doesn’t?
Dominic laughed.
Then the board removes a hysterical wife, and Mercer Vale takes the shares.
No one moved when the recording ended.
Dominic looked at Eliza as though she had personally betrayed him by surviving.
“You recorded me?” he shouted at Marcus.
The audit chairman struck the table with his palm.
“This meeting will remain orderly.”
Dominic ignored him.
He pointed at Eliza.
“You hid behind legal structures while I gave this company a name.”
